Greeting All, I have scheduled our annual Fieldstone subdivision home owners board of directors’ meeting for January 19, at 6:30 pm. Due to the current restrictions on in-person gatherings, the meeting will be held via zoom.

We have several items we need to discuss for the upcoming year. First, the board has approved the enclosed amendment to the by-laws governing our HOA. The amendment allows for important changes that will improve how our HOA functions: first, we would like to limit the number of board members to five persons, each of whom serve staggered terms (Art. IV, Sect 1). This will help us establish a quorum to vote on HOA issues and maintain continuity through the coming years. The amended by-laws would also permit the board to discuss and vote electronically, a critical issue, especially this year when meeting in person has been challenging (Art. IV, Sect. 8).
I encourage you to review the redlined version of the amended by-laws. If you agree with them, but cannot attend the meeting, you can allow me to be your proxy vote by mailing us the enclosed proxy form. We need a 50% majority of homeowners/members to pass this amendment. Note, this proxy only applies to the amended by-laws outlined, not any other issue.
In addition, we plan to discuss our proposed budget for the coming year and determine who will comprise our board. If you are interested in being a member of the board of directors, please let me know no later than January 10, 2021. A list of candidates will be announced at the meeting as well procedures for the election to be held in February.
